TERMS OF SERVICE

1. OVERVIEW

This platform ("Nali") is a product owned, operated, and maintained by Adinfinite Technologies Limited, a limited liability company duly registered and incorporated under the laws of the Republic of Kenya. Throughout the site and within these Terms, the designations “we”, “us”, and “our” refer collectively to Nali and Adinfinite Technologies Limited.

By accessing, browsing, registering for, or using the Nali website, mobile application, API, or any associated ticketing services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including our Privacy Policy. These Terms apply to all users of the site, including without limitation users who are browsers, vendors (Event Organizers/Promoters), and customers (Ticket Buyers/Attendees).

These Terms constitute a legally binding agreement between you and Adinfinite Technologies Limited. If you do not agree to all the terms and conditions of this agreement, you are strictly prohibited from accessing the website or using any services.

2. DEFINITIONS

To ensure clarity, the following terms are defined as follows:

  • "You" or "User": Any individual or entity accessing the Service for any purpose.
  • "Organizer" or "Merchant": An individual, partnership, or corporate entity that creates event listings, sells tickets, manages inventory, and utilizes the Nali platform to facilitate sales.
  • "Customer" or "Attendee": An individual who browses events or purchases a ticket via the Nali platform.
  • "Purchase Price": The face value of the ticket as determined and set solely by the Organizer.
  • "Service Fee": The non-refundable booking and processing fee charged by Nali on top of the Purchase Price to cover platform maintenance and transaction costs.
  • "Force Majeure": Unforeseeable circumstances that prevent someone from fulfilling a contract, including but not limited to acts of God, war, strikes, government orders, or pandemics.

3. ELIGIBILITY AND ACCOUNT SECURITY

By agreeing to these Terms, you represent and warrant that you are at least 18 years of age and possess the legal authority, right, and freedom to enter into a binding contract under Kenyan law.

  • Registration Accuracy: You must register with a valid email address and active mobile phone number. Nali reserves the right to verify your identity via email confirmation or SMS OTP (One-Time Password).
  • Account Confidentiality: You are solely responsible for maintaining the confidentiality of your account credentials (password and username). Adinfinite Technologies Limited cannot and will not be liable for any loss, damage, or unauthorized activity arising from your failure to comply with this security obligation. You agree to notify us immediately of any unauthorized use of your account.

4. ROLE OF NALI (INTERMEDIARY STATUS)

Nali operates purely as a technology provider and acts solely as a commercial intermediary (ticketing agent) between the Organizer and the Customer.

  1. No Ownership of Events: We do not create, organize, produce, or manage the events listed on the Service. The actual contract for the sale and purchase of a ticket is directly between the Organizer and the Customer.
  2. No Endorsement: The listing of an event on Nali does not constitute an endorsement, recommendation, or guarantee of quality by Adinfinite Technologies Limited.
  3. No Control Over Execution: We have no control over the quality, safety, legality, or execution of the events advertised. We do not guarantee that the Organizer will complete the event as described or that the Customer will attend.

5. TERMS FOR ORGANIZERS (SELLERS)

5.1. Event Listings and Accuracy

Organizers must provide truthful, accurate, and complete information about their events.

  • Prohibited Listings: You strictly prohibit the listing of illegal events, fraudulent schemes, pyramid schemes, or events that promote hate speech, violence, or discrimination.
  • Copyright Compliance: You represent that you have the right to use all images, logos, and text contained in your event listing and that they do not infringe upon the intellectual property rights of any third party.

5.2. Payouts and Settlement

  • Standard Payout Cycle: Nali aims to remit ticket revenue to the Organizer within 28 hours of the transaction or settlement request, subject to standard banking hours and fraud detection protocols.
  • Fraud Detection & Withholding: We reserve the absolute right to delay, freeze, or withhold payouts if we detect suspicious activity, high chargeback rates, unusual transaction volumes, or if we have reasonable cause to believe the event is fake or likely to be cancelled.
  • Account Details: You must provide accurate M-PESA or Bank details. Nali is not liable for funds sent to a wrong account due to Organizer error. Corrections to account details may result in payment delays.

5.3. Cancellations, Refunds, and Clawbacks (Crucial)

Since Nali may release funds to you before the event occurs to assist with your liquidity:

  • Organizer Liability: If your event is cancelled, postponed, or significantly changed (e.g., change of headline artist or venue), you are solely responsible for refunding Customers the full Purchase Price.
  • Clawback Obligation: If Nali has already remitted funds to you, and a refund is required due to cancellation or breach of contract, you agree to return those funds to Nali immediately (within 48 hours of demand) so that we may refund the Customers.
  • Debt Recovery: Failure to return funds for cancelled events constitutes a material breach of contract and potential criminal fraud. Adinfinite Technologies Limited reserves the right to employ debt collection agencies, report the default to Credit Reference Bureaus (CRB), and pursue legal action to recover these funds and associated legal costs.

5.4. Taxes

The Organizer is solely responsible for determining, collecting, withholding, and reporting all applicable taxes (including VAT, Entertainment Tax, or Income Tax) to the Kenya Revenue Authority (KRA) or other relevant tax bodies. Nali does not act as a tax withholding agent for the Organizer unless explicitly required by a change in legislation.

6. TERMS FOR CUSTOMERS (BUYERS)

6.1. Pricing and Fees

Tickets are sold at the price set by the Organizer. In addition to the ticket price, Nali charges a Service Fee.

  • Non-Refundable Nature: Service Fees are strictly non-refundable, even if the event is cancelled, postponed, or if you request a refund. This fee covers the costs of payment processing, platform hosting, and administrative support which are incurred at the moment of booking.

6.2. Refunds and Cancellations

  • General Policy: All sales are final. We do not offer refunds for "change of mind," lost tickets, personal scheduling conflicts, or inability to attend.
  • Cancelled Events: Refunds are subject to the Organizer's policy and the availability of funds. Since Nali is an agent, we can only issue refunds if we still hold the funds in our settlement accounts or if the Organizer authorizes and actively funds the refund.
  • Disputes: If you have a dispute regarding an event (e.g., misrepresentation of the venue, short performance duration), you must contact the Organizer directly. Nali may mediate but cannot guarantee a resolution.

6.3. Entry and Ticket Validity

Nali provides a digital ticket (QR code/Email).

  • Revocable License: A ticket is a revocable license to attend a specific event. The Organizer reserves the right to refuse entry or eject any person for violation of venue rules, failure to present valid government-issued ID, or disorderly conduct, without refund.
  • Ticket Security: You are responsible for keeping your QR code secure. Nali is not responsible if someone else scans your code before you do.

7. INTELLECTUAL PROPERTY AND USER CONTENT

7.1. Our IP

The Nali platform, including its source code, design, logos, trademarks, and user interface features, is the exclusive property of Adinfinite Technologies Limited and is protected by copyright and trademark laws.

7.2. Your Content (Organizer License)

While you retain ownership of the images, videos, and text you upload to promote your event, by uploading them, you grant Nali a worldwide, non-exclusive, royalty-free, transferable license to use, display, reproduce, distribute, and modify this content for the purpose of operating the Service and marketing your event across our website, social media channels, and partner networks.

8. PROHIBITED USES

In addition to other prohibitions, you agree not to use Nali to:

  1. Upload viruses, malware, or malicious code that could compromise the functionality of the Service.
  2. Use automated bots, spiders, or scrapers to access data or purchase tickets ("scalping") in bulk.
  3. Sell fake, duplicate, or non-existent tickets, or resell tickets at inflated prices in violation of local regulations.
  4. Engage in money laundering, financial fraud, or use the platform to process payments for goods or services unrelated to the listed event.
  5. Harass, abuse, insult, or defame other users or Nali support staff.

9. DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

The Service is provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied.

Adinfinite Technologies Limited shall not be liable for:

  1. Event Risks: Any injury, loss, theft, property damage, or death suffered by a Customer at an event or venue.
  2. Indirect Damages: Any indirect, incidental, special, or consequential damages arising from the use of the Service or inability to use the Service.
  3. Third-Party Failures: Any failure, delay, or interruption of M-PESA, banking networks, internet providers, or SMS gateways that delays payment processing or ticket delivery.

To the fullest extent permitted by law, our total liability to you for any claim arising out of these Terms shall not exceed the total Service Fees paid by you to Nali in the three (3) months preceding the claim.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Adinfinite Technologies Limited, its directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of:

  • Your use of the Service or violation of these Terms.
  • (For Organizers) Any dispute arising from your Event, including cancellations, refunds, or safety incidents.
  • Your violation of any rights of a third party, including intellectual property or privacy rights.

11. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya.

  • Amicable Resolution: In the event of a dispute, parties agree to first attempt to resolve the matter informally by contacting us at info@nali-tickets.com. You agree to allow us 30 days to resolve the issue before proceeding to formal action.
  • Jurisdiction: If the dispute cannot be resolved informally, it shall be submitted to the exclusive jurisdiction of the competent courts located in Nairobi, Kenya.

12. CHANGES TO TERMS

We reserve the right to update, modify, or replace these Terms at any time at our sole discretion. Material changes will be notified via email or a prominent notice on the App/Website. Your continued use of Nali after such changes constitutes your acceptance of the new Terms.
